In the event of a conflict between these Terms and a signed written Agreement, the signed Agreement shall control.
Section 3. Eligibility

You have the legal capacity and authority to enter into binding agreements; and

Section 4. Payment & Fees
Fees: Fees for services will be as outlined at the time of purchase, on the applicable sales page, or as otherwise agreed in a written Agreement.
Currency: All payments must be made in U.S. Dollars.
Payment Schedule: Payments must be made in accordance with the schedule outlined in the applicable Agreement or at checkout.
Non-Refundable: All payments are final and non-refundable unless explicitly stated otherwise in a written Agreement.
Chargebacks Prohibited: Initiating an unauthorized chargeback or payment reversal is a material breach of these Terms and may result in immediate termination of services, referral to collections, and/or legal action to recover amounts owed plus fees and costs.
Late Payments: Outstanding balances may be subject to a late fee as specified in the applicable Agreement. We reserve the right to suspend services for accounts with overdue balances.
Section 5. Client Responsibilities
You agree to:
Provide timely access to information, accounts, assets, resources, and personnel reasonably necessary for us to deliver services;
Respond to requests and communications in a timely manner to avoid delays in service delivery;
Use our services only for lawful purposes and in compliance with all applicable laws and regulations;
Not share, resell, sublicense, or provide access to our deliverables, proprietary tools, methodologies, or materials to unauthorized third parties;
Maintain the confidentiality of any login credentials, platform access, or proprietary information we share with you; and
Acknowledge that marketing and business outcomes are not guaranteed — implementation, follow-through, and results are your sole responsibility.
Section 6. Intellectual Property & Confidentiality
Our Property: All proprietary methodologies, frameworks, tools, templates, training materials, systems, and content we develop or provide remain the exclusive intellectual property of Underground Masterminds DBA Jason Ledbetter, unless a written Agreement expressly states otherwise.
Client Deliverables: Upon receipt of full payment, you receive a limited, non-exclusive license to use deliverables created specifically for you, solely for your own business purposes.
Restrictions: You may not copy, reproduce, distribute, reverse-engineer, decompile, create derivative works from, or disclose our proprietary information, tools, or materials to any third party without our express prior written consent.
Confidentiality: Both parties agree to keep confidential any non-public information shared during the engagement and not to disclose it to third parties without prior written consent, except as required by law.

Results are not guaranteed. Past client performance, case studies, and examples do not represent or guarantee future outcomes for you or any other client.
